Supply of Services Agreement

Limitation of Revisions

Animation can be a trial and error process, discovering artistically what feels right as the work proceeds. So we make every effort to create an engaging and eye-catching animation which may mean that the brief evolves as we proceed. We, of course, keep you in the loop so all changes can be approved. Although we don’t place an official limit on the amount of reviews and revisions, it should be understood that your comments on what and how you would like revisions made, should be grouped together. This will speed up the process of creating the work for you.

We reserve the right to charge a proportion of the total budget, based on the work already carried out, if the demands placed upon us become unreasonable or revisions extensive to the point we can no longer be reasonably expected to carry out our work.

Please note that alterations in the brief may affect the quote.  We do, however, like to keep things relaxed and a lot of things won't affect the quote and we always go the extra mile if we can. If, what we term as an ‘edit revisit’ occurs we may well need to charge an extra cost which will be detailed at the time and added to the overall quote. An ‘edit revisit’ is when a stage has been complete and signed off by the client and then subsequent changes are made which means we have to redo the work of this stage.

It should be clear that we are entering into an agreement to work for you and no other third parties. If other persons or third parties are to be directly involved it is by the express pre-agreement of ourselves and you. Involving third parties, especially where it disrupts the good course of our work, will mean our agreement will need to be reviewed.

We cannot be held responsible for any costs incurred to you or any third parties in relation to our work for you.

Copyright and Licensing

It is your responsibility to make sure that you have obtained the correct written licenses for any artwork/material you provide to Tapocketa for which you do not own copyright. Tapocketa will not be held liable for any copyright infringements resulting from unlicensed artwork/materials provided to us. Licenses need to cover the new usage, locations and terms that our work for you will involve. By supplying artwork/material to us you are granting Tapocketa a fully paid-up, worldwide, non-exclusive, royalty-free licence to copy and modify these artworks/materials for the term of our work for you for the purpose of providing our services. As an exception, it may be that Tapocketa needs to obtain the font licenses necessary to create the text/typography in order to complete the work. We will make you aware of this so a decision can be made about sharing the cost of obtaining these licenses.

Please be aware that where Tapocketa is creating original imagery not made from existing artwork provided to us, we retain full copyright over that imagery and license its usage to you under the usage terms agreed in writing by Tapocketa and you. This does not grant the permission to sub-license, assign or otherwise transfer the rights to any third parties without written consent from us. Tapocketa should be made aware in writing if our original artwork is to be used for any other purpose other than that already agreed in writing. This is to ensure that Tapocketa’s work is never used for purposes other than intended particularly where it would defame Tapocketa’s reputation. This is standard contractual practice and not a reflection on the client. In this respect, Tapocketa retains the moral rights to the works which protects us from defamation in the usage of the works and prevents others claiming the works were carried out by anyone other than Tapocketa.

Your Privacy

Tapocketa takes your privacy seriously and is aware of how important it is to keep work out of the public eye until consent is given. We also retain client details, such as contact details on secure and private servers for our use only in future communications and do not share your details with any third parties (save for those for our purposes of storage of private data) without your express consent.

Payment Terms

Works carried out with a quote in excess of £5k will be required to be paid in installments, agreed before commencement of the works.

Should the client go into liquidation, all outstanding payments will be due immediately and prioritised.

Tapocketa’s Use of the Work

All work is completed on the understanding that Tapocketa, or its substitutes (e.g. freelancers working on behalf of Tapocketa), is permitted to use images of the process including the final result for promotional reasons once material has been released by the client into the public domain (we always ask before posting any publicity and credit where possible).
